01

The agreement should reflect real operations

If quotation, order, delivery, acceptance and invoicing do not match the written process, it may become unclear which records govern or prove performance in a dispute. The contract should reflect how the business actually operates.

02

Clauses that should work together

A heavy contractual penalty cannot compensate for an unclear or incomplete process.

  • Delivery and acceptance
  • Payment, advance, security and set-off
  • Delay, defects and cure periods
  • Change control and additional work
  • Liability and force majeure
  • Suspension, termination and handover
03

Dispute clauses are not an afterthought

Governing law, courts or arbitration, notices and evidence should suit the parties and transaction. Enforceability and collection require separate consideration in cross-border agreements.
